We need to upgrade MySQL and PHP on our Rackspace server to V5.. for another site we run on it. Is this going to have any effect on our Actinic store?

No, Actinic doesn't use MySQL. The php engine is built into Actinic so shouldn't have any effect online unless you have data running outside of Actinic (for example, perhaps you have installed a Blog on your server).
